PARTIES TO THIS AGREEMENT

Course Owner and Provider: Fondazione SoLongevity ETS, Via Adamello 16, 20139 Milan, Italy (hereinafter “the Foundation”)

Technical & Clinical Partner: SoLongevity Healthcenters Srl, Milan, Italy (hereinafter “SoLongevity”)

ECM/CME Technical Partner: Università di Pavia — ECM Department, Corso Strada Nuova 65, 27100 Pavia, Italy

Participant: The registered medical professional completing the enrollment form (hereinafter “Participant”)

Article 1. SCOPE AND DEFINITIONS

1.1  This Agreement governs the terms and conditions under which the Participant enrolls in the course “Longevity Medicine: Foundations for Clinical Practice” (hereinafter “the Course”), owned and promoted by Fondazione SoLongevity ETS (hereinafter “the Foundation”), with SoLongevity Healthcenters Srl acting as Technical and Clinical Partner, and the Università di Pavia ECM Department acting as ECM/CME Technical Partner.

1.2  The Course is the first European Advanced Training Course specifically designed in the field of longevity medicine for certified medical professionals. It carries ECM (Educazione Continua in Medicina) / CME (Continuing Medical Education) accreditation in Italy and equivalent CME credits within the European Union, as issued by the relevant competent authority.

1.3  For the purposes of this Agreement, the following definitions apply:

• “Course” means the full programme of 80 hours of asynchronous distance-learning (FAD) content delivered exclusively in English, together with all associated assessments and materials.
• “Module” means each of the thematic teaching units comprising the Course, including but not limited to: the Diagnostic Module, the Therapeutic Module, the AI in Clinical Practice Module, the Ethics and Regulation Module, and the Pharmacology of Longevity Module.
• “Faculty” means the lecturers, professors, and clinical experts who contribute teaching content to the Course.
• “Lesson” means a single instructional unit within a Module, associated with a specific teaching topic and a defined number of contact hours.
• “ECM/CME Credits” means the continuing medical education credits (ECM in Italy; CME equivalents in the European Union) formally attributed to Lessons and Modules as determined by the competent accreditation authority.
• “Platform” means the digital environment through which Course content is delivered and accessed by Participants.
• “Practicum” means the optional 80-hour supervised clinical internship (tirocinio) offered as a complementary component of the Course. The Practicum is not required for the award of ECM/CME credits attributable to the distance-learning programme and is subject to separate conditions as set out in Article 1.5.

1.4  The core distance-learning programme comprises more than 80 hours of asynchronous FAD (Formazione a Distanza) content, delivered exclusively in English via the Platform, covering the following thematic Modules: the Diagnostic Module, the Therapeutic Module, the AI in Clinical Practice Module, the Ethics and Regulation Module, and the Pharmacology of Longevity Module.

1.5  In addition to the distance-learning programme, the Course offers an optional Practicum of 80 hours of supervised clinical internship (tirocinio), which Participants may elect to undertake. The Practicum is governed by a separate addendum to this Agreement and may be subject to additional fees, scheduling arrangements, and eligibility conditions. Participation in the Practicum is not a prerequisite for the award of ECM/CME credits attributable to the distance-learning programme.

2.1  Access to the Course is reserved exclusively to medical professionals holding a valid and current license to practice medicine, as verified at the time of enrollment. The Foundation reserves the right to verify credentials and to deny or revoke access in the event of non-compliance with this requirement.

2.2  Enrollment is confirmed upon receipt of the full applicable enrollment fee and acceptance of this Agreement. The Participant will receive access credentials to the Platform within five (5) business days of confirmed payment.

2.3  The license to access Course content is personal and non-transferable. Sharing of access credentials is strictly prohibited and constitutes grounds for immediate termination of access without refund.

Article 3. COURSE CONTENT AND PROGRAMME FLEXIBILITY

3.1  The Foundation undertakes to deliver a Course of high scientific and didactic quality, consistent with the Programme published at the time of enrollment. The Foundation nevertheless retains the following operational rights, which the Participant expressly acknowledges and accepts as a condition of enrollment:

3.2  Faculty Substitution

The Foundation reserves the right to replace any initially designated Faculty member with another qualified expert in the relevant scientific field, at any time and without prior notice to the Participant. Such replacement may occur for reasons including, but not limited to, illness, scheduling conflicts, withdrawal of a lecturer, or the identification of a more qualified or available expert. A change of Faculty member does not constitute a material alteration of the Course and does not entitle the Participant to a refund or any other remedy.

3.3  Lesson Content Modification

The Foundation reserves the right to modify, update, or substitute the specific content of any individual Lesson, provided that the overarching thematic topic assigned to that Lesson slot remains substantively consistent. Such modifications may be made to ensure scientific currency, to incorporate emerging evidence, or to optimise pedagogical quality. The Participant acknowledges that advances in the scientific field of longevity medicine may necessitate content updates during the Programme period (June 2026 – March 2027).

3.4  Modification of the ECM Credit-contributing Lesson List

The Foundation reserves the right to modify the list of Lessons that formally contribute to the ECM/CME credit count, subject to the prior approval of the competent ECM/CME accreditation authority. Any such modification will be communicated to enrolled Participants as soon as practicable. The total number of ECM/CME credits available to Participants who complete all requirements shall not be reduced below the number stated in the Programme at the time of enrollment without the Participant’s prior written consent.

3.5  Addition of Teaching Topics

The Foundation reserves the right to add new teaching topics, Lessons, or thematic sections to the Course Programme at any time, without altering the total number of Lessons and hours formally attributable to ECM credits. Such additions represent enhancements to the overall educational offering and do not modify the Participant’s obligations under this Agreement. Access to additional content shall be granted to all enrolled Participants at no additional charge, unless the Foundation expressly designates such content as a separate and optional module.

Article 4. FEES, PAYMENT, ACCESS AND REFUND POLICY

4.1  The Course is offered under two enrollment models, which the Participant selects at the time of registration:

• Full Programme Enrollment: access to all Modules and Lessons comprising the distance-learning programme, for the applicable full-programme fee.
• Single Module Enrollment: access to one or more individual Modules selected by the Participant, for the applicable per-module fee as published on the enrollment platform.

The applicable fee for the selected enrollment model is as stated on the Foundation’s official enrollment platform at the time of registration. All fees are stated inclusive of any applicable VAT or equivalent taxes, unless otherwise specified.

4.2  Access to Course content is strictly conditional upon full payment of the fee corresponding to the enrollment model and Module selection made by the Participant. The following rules apply:

• Full Programme Enrollment: access to all Modules and associated content will be granted only upon receipt and confirmation of the full programme fee.
• Single Module Enrollment: access to each individual Module will be granted only upon receipt and confirmation of the fee specifically attributable to that Module. Access to any Module for which payment has not been completed remains suspended, regardless of the Participant’s enrollment status with respect to other Modules.
• In no circumstance shall content be made accessible in advance of confirmed payment. Provisional or conditional access is not provided under any enrollment model.

4.3  Payment is processed via the secure payment infrastructure designated by the Foundation. The Participant authorises the sharing of transaction data with the relevant payment processing partners for the sole purpose of completing and recording the transaction (see Article 6). Access credentials are activated automatically upon payment confirmation by the payment processor.

4.4  Where the enrollment fee is paid in instalments or where a deposit (hereinafter “the Deposit”) is required at the time of registration, the Deposit is non-refundable under any circumstances, including in the event of exercise of the right of withdrawal described in Article 4.5. The Deposit constitutes consideration for the reservation of the Participant’s place in the Course and for the administrative processing of the enrollment. The non-refundable nature of the Deposit does not affect any rights the Participant may have under mandatory consumer protection legislation applicable in their country of habitual residence.

4.5  The Participant may withdraw from this Agreement and request a full refund of any fee paid beyond the Deposit within fourteen (14) calendar days of confirmed enrollment, provided that both of the following conditions are met:

• no content within the paid Module or Programme has been accessed during that period; and
• the training programme — or the specific Module enrolled in — has not yet commenced.

The right of withdrawal lapses automatically upon the earlier of: (a) expiry of the fourteen-day period; (b) any access to paid content; or (c) commencement of the training programme or Module. This cooling-off right is exercised by written notice to the Foundation at the address provided in this Agreement. Where a Participant has enrolled in multiple Modules separately, the cooling-off period applies independently to each Module from the date of payment for that Module, subject always to the condition that the relevant Module has not yet commenced.

4.6  After the right of withdrawal has lapsed pursuant to Article 4.5, the fee for the relevant Module or Programme (net of any Deposit already paid) is non-refundable, except in the event of force majeure as defined in Article 10, or in the event the Foundation fails to deliver the relevant Module or Programme in its entirety. Refunds, where due, will be issued within thirty (30) calendar days of the Foundation’s acceptance of the refund request.

Article 5. INTELLECTUAL PROPERTY

5.1  All teaching materials, slides, recordings, bibliographic collections, assessment questions, and any other content produced for or in connection with the Course are the exclusive intellectual property of the Foundation and the respective Faculty member, as indicated in each item of content.

5.2  The Participant is granted a limited, personal, non-exclusive, non-transferable license to access and use Course materials solely for their own professional development and for the purpose of obtaining the associated ECM credits. No other use is permitted without the prior written authorisation of the Foundation.

5.3  The Participant may not reproduce, distribute, sublicense, publicly perform, publish, or transmit Course materials, in whole or in part, in any format or medium, without the prior written consent of the Foundation.

Article 6. DATA PROTECTION AND PRIVACY

6.1  The Foundation, acting as Data Controller within the meaning of Regulation (EU) 2016/679 (“GDPR”) and applicable national data protection legislation, collects, processes, and stores the personal data of Participants for the purposes set out in this Article. By completing enrollment, the Participant provides the consents specified below.

6.2  Data Controllers and Authorised Recipients

The Participant’s personal and professional contact data (including name, surname, medical license number, email address, telephone number, and institutional affiliation) may be accessed and processed by the following entities, each acting for the specific purposes and on the legal bases indicated:

6.3  Purposes of Data Processing

The Foundation, and where indicated the relevant Partner entities, process the Participant’s personal data for the following purposes:

• Course administration: enrollment management, credential verification, access provisioning, and delivery of Course materials. Processed by: Fondazione SoLongevity ETS; SoLongevity Healthcenters Srl (platform technical management and faculty coordination).
• ECM/CME credit management: transmission of identifying and professional data to the Università di Pavia ECM/CME Department for the formal attribution, recording, and certification of continuing medical education credits in accordance with the requirements of the competent accreditation authority. Processed by: Fondazione SoLongevity ETS; Università di Pavia ECM/CME Department (as Co-Controller for accreditation purposes).
• Credential verification: verification of the Participant’s valid medical licence and professional qualifications, as required by the ECM/CME accreditation authority prior to the award of credits. Processed by: Fondazione SoLongevity ETS; Università di Pavia ECM/CME Department.
• Clinical coordination: coordination of clinical content, Faculty support, and — where applicable — organisation of the optional Practicum (supervised internship), including scheduling, supervision, and clinical reporting. Processed by: SoLongevity Healthcenters Srl, in its capacity as Technical and Clinical Partner.
• Technical support: diagnosis and resolution of technical issues encountered during Platform access or content delivery. Processed by: Fondazione SoLongevity ETS; SoLongevity Healthcenters Srl.
• Course communications: notification of updates, amendments to the Programme (including Faculty changes, content modifications, and scheduling adjustments), and administrative communications related to the Participant’s enrollment. Processed by: Fondazione SoLongevity ETS; SoLongevity Healthcenters Srl.
• Future training initiatives: with the Participant’s separate and specific consent (provided at the time of enrollment), the Foundation and SoLongevity Healthcenters Srl may contact the Participant regarding future educational programmes, webinars, conferences, or other continuing medical education initiatives in the field of longevity medicine.
• Alumni community management: with the Participant’s separate and specific consent, the contact data of Participants who have successfully completed the Course may be used to manage and operate the “Longevity Medicine Alumni Community”, a professional network established and administered by the Foundation, including communications, events, and collaborative research initiatives. Managed by: Fondazione SoLongevity ETS; SoLongevity Healthcenters Srl (community operations).

6.4  Legal Bases for Processing

Processing is carried out on the following legal bases:

• Course administration, ECM/CME credit management, credential verification, clinical coordination, technical support, and course communications: Art. 6(1)(b) GDPR (processing necessary for the performance of the contract to which the Participant is party). This basis applies to Fondazione SoLongevity ETS as primary Data Controller, to SoLongevity Healthcenters Srl acting as Data Processor on the basis of a data processing agreement with the Foundation pursuant to Art. 28 GDPR, and to the Università di Pavia ECM/CME Department acting as Co-Controller pursuant to the co-controller arrangement described in Article 6.7 below.
• Future training initiatives and alumni community management: Art. 6(1)(a) GDPR (freely given, specific, and informed consent of the Participant), which may be withdrawn at any time without prejudice to the lawfulness of processing carried out prior to withdrawal.

6.5  Co-Controller Arrangement — Università di Pavia ECM/CME Department

6.5.1  The Foundation and the Università di Pavia ECM/CME Department act as Joint Controllers (Co-Controllers) within the meaning of Art. 26 GDPR with respect to the processing of personal data for the purposes of credential verification, ECM/CME credit attribution, and certification.

6.5.2  The respective responsibilities of the Foundation and the Università di Pavia ECM/CME Department are governed by a separate Co-Controller Agreement (hereinafter “the Co-Controller Agreement”) entered into between the two entities. The essential content of that arrangement is made available to Participants upon request pursuant to Art. 26(2) GDPR.

6.5.3  Regardless of the terms of the Co-Controller Agreement, the Participant may exercise their rights under Chapter III of the GDPR against either Co-Controller. For the purposes of this Agreement, the Foundation acts as the primary point of contact for Participants and may be reached at privacy@solongevity.com.

6.6  Data Retention

Personal data processed for Course administration and ECM/CME credit management will be retained for a minimum of ten (10) years from the date of completion of the Course, in compliance with applicable professional and regulatory record-keeping obligations. Data processed on the basis of consent will be retained until such consent is withdrawn or until the specific purpose for which it was collected ceases to exist, whichever is earlier.

6.7  Participant Rights

The Participant has the right, at any time, to: access their personal data held by the Foundation or its Partners; request correction of inaccurate data; request erasure of data no longer necessary for the purposes for which it was collected (subject to overriding legal obligations); object to or restrict processing; and to lodge a complaint with the Italian Data Protection Authority (Garante per la protezione dei dati personali) or the competent supervisory authority in the Participant’s country of residence.

Article 7. COURSE COMPLETION, ASSESSMENT AND CERTIFICATION

7.1  To obtain the full ECM/CME credit allocation, the Participant must: (a) view all Lessons comprising the ECM/CME credit-contributing programme; and (b) achieve a minimum pass mark on all associated self-assessment tests, as specified in the Programme documentation.

7.2  The self-assessment format consists of multiple-choice questions (4 answer options per question, 3 questions per hour of teaching), as set by the ECM/CME competent authority. The Foundation reserves the right to modify the format of self-assessment questions in accordance with requirements issued by the competent authority without prior notice to Participants.

7.3  Upon successful completion of all requirements, the Foundation will issue a Certificate of Completion confirming the number of ECM/CME credits obtained. The Certificate will be issued by, or in co-branding with, the Università di Pavia ECM Department and the Foundation.

Article 8. PLATFORM AVAILABILITY AND TECHNICAL OBLIGATIONS

8.1  The Foundation will use reasonable commercial efforts to ensure Platform availability of not less than 95% per calendar month, excluding scheduled maintenance windows (of which Participants will receive not less than 48 hours’ notice) and events of force majeure.

8.2  The Participant is responsible for ensuring that their device, internet connection, and software environment meet the minimum technical requirements published by the Foundation on its enrollment platform.

8.3  In the event of prolonged Platform unavailability (exceeding five (5) consecutive business days due to causes attributable to the Foundation), the access period will be extended by an equivalent period.

Article 9. LIMITATION OF LIABILITY

9.1  The Foundation’s liability to the Participant in connection with this Agreement is limited to the amount of the enrollment fee actually paid by the Participant.

9.2  The Foundation shall not be liable for any indirect, incidental, special, or consequential damages, including loss of professional opportunity or reputational harm, arising in connection with the Course or this Agreement.

9.3  The teaching content of the Course is intended for professional development and educational purposes only. It does not constitute medical advice, clinical guidelines, or a recommendation to adopt any specific clinical practice. The Participant remains personally and professionally responsible for all clinical decisions made in their professional capacity.

Article 10. FORCE MAJEURE

10.1  Neither party shall be liable for any failure or delay in performing their obligations under this Agreement where such failure or delay results from causes beyond their reasonable control, including but not limited to acts of God, pandemic events, government regulations, cyberattacks, or failure of third-party infrastructure providers.

10.2  In the event of a force majeure event preventing delivery of the Course for a period exceeding ninety (90) calendar days, the Participant may elect to receive a full refund of the enrollment fee or to extend their enrollment until delivery resumes.

Article 11. TERM AND TERMINATION

11.1  This Agreement enters into force upon confirmation of enrollment and remains in effect until the earlier of: (a) the Participant’s completion of the Course; or (b) three (3) years from the date of enrollment.

11.2  The Foundation may terminate this Agreement with immediate effect if the Participant: (a) violates the intellectual property restrictions set out in Article 5; (b) shares access credentials in breach of Article 2.3; (c) engages in any conduct that is fraudulent, abusive, or likely to bring the Foundation or the Course into disrepute.

11.3  Upon termination by the Foundation for cause, no refund shall be due.

Article 12. GOVERNING LAW AND JURISDICTION

12.1  This Agreement is governed by and construed in accordance with the laws of the Italian Republic, with specific reference to Legislative Decree 206/2005 (Consumer Code) and Legislative Decree 196/2003 as amended by Legislative Decree 101/2018 (Privacy Code), without prejudice to any mandatory consumer protection rights applicable in the Participant’s country of habitual residence.

12.2  Any dispute arising out of or in connection with this Agreement which cannot be resolved by good-faith negotiation within thirty (30) days of written notice shall be submitted to the exclusive jurisdiction of the Courts of Milan, Italy. The parties expressly elect the Court of Milan as the sole competent forum, without prejudice to any mandatory provisions of the law applicable in the Participant’s country of residence that may otherwise determine jurisdiction.

Article 13. ELECTRONIC SIGNATURE AND WEBSITE ACCEPTANCE

13.1  This Agreement may be executed and accepted by the Participant through the Foundation’s official enrollment website (hereinafter “the Website”), without the need for a handwritten or qualified electronic signature, in accordance with Article 1326 of the Italian Civil Code and with Regulation (EU) No. 910/2014 (eIDAS) with respect to electronic transactions.

13.2  The enrollment process on the Website constitutes a binding offer by the Participant. Acceptance is formed and this Agreement enters into force at the moment the Foundation confirms enrollment and payment via email notification to the address provided during registration.

13.3  The digital acceptance mechanism on the Website shall consist of all of the following steps, each of which is mandatory and must be completed in sequence before enrollment is confirmed:

• Presentation of the full text of this Agreement to the Participant in a legible and accessible format on the Website enrollment page.
• An explicit checkbox, bearing the label: “I have read, understood, and expressly accept the Course Enrollment Agreement and its Terms and Conditions, including in particular the provisions of Article 3 (Programme Flexibility) and Article 6 (Data Protection and Privacy)”. This checkbox must be actively selected by the Participant and may not be pre-ticked.
• Where applicable, a separate explicit checkbox for consent to the processing of personal data for future training initiatives and alumni community management purposes, as described in Article 6.3, bearing the label: “I consent to being contacted by Fondazione SoLongevity ETS and SoLongevity Healthcenters Srl regarding future educational initiatives and to being included in the alumni community. I understand that this consent is optional and may be withdrawn at any time.”. This checkbox may not be pre-ticked.
• Submission of the enrollment form and completion of payment via the designated payment interface.
• Automated dispatch of a confirmation email to the Participant, attaching or linking to a copy of this Agreement as accepted, together with a transaction reference number and the date and time of acceptance. This email constitutes written confirmation of the Agreement as required by Article 1335 of the Italian Civil Code.

13.4  The Foundation shall maintain a secure and auditable record of each digital acceptance event, including the identity of the Participant, the date and time of acceptance, the IP address of the device used, the version of the Agreement accepted, and the transaction reference number. Such records shall be retained for a minimum of ten (10) years and shall constitute conclusive evidence of acceptance in any dispute.

13.5  The Participant may, at any time, request a copy of the Agreement as accepted by them by writing to the Foundation at the contact address provided in this Agreement. The Foundation shall provide such copy within five (5) business days.

Article 14. GENERAL PROVISIONS

14.1  Entire Agreement. This Agreement, together with the enrollment form and the Programme documentation incorporated herein by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior representations, negotiations, or arrangements.

14.2  Amendments. The Foundation reserves the right to update these Terms and Conditions. Material changes will be communicated to enrolled Participants by email not less than thirty (30) days before taking effect. Continued access to the Course after such notice constitutes acceptance of the revised terms.

14.3  Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.4  Language. This Agreement is drafted in the English language. In the event of translation, the English version shall prevail.

ACKNOWLEDGEMENT AND ACCEPTANCE

By completing the enrollment process on the Website and submitting payment, the Participant confirms that they have read, understood, and expressly accepted all the terms and conditions of this Agreement, including the provisions of Article 3 (Programme Flexibility), Article 4 (Fees, Payment and Access), Article 6 (Data Protection and Privacy), and Article 13 (Electronic Signature and Website Acceptance). Digital acceptance via the Website checkout process has the same legal force as a handwritten signature in accordance with applicable Italian and European law.
